I need to install new Windows 2003 server with Exchange 2003 in SBS 2000
enviroment and

replace function of Exchange2000. How to do it?

Could I install e new 2003 as a new DC in existing SBS 2000 domain and on
this new server install Exchange 2003 and then move mailboxes from exchange
2000 to exchange 2003?

You don't indicated if you are going to completely replace SBS or if you
just wanting to replace the Exchange portion.

If thats the case, why not upgrade to SBS 2003
If there are other issues, let us help you resolve those.

You're talking a lot of money when SBS 2003 is relatively inexpensive

I need Windows 2003 server to implement Terminal services and I have license
to install exchange 2003 server.
But I don't want to buy SQL server 2000.
Therefore I want to have in my domain two DC, one will be SBS 2000 with MS
SQL 2000 only and the second will be
Windows 2003 server with exchange 2003 installed. New Exchange 2003 replaces
the old exchange 2000 in SBS 2000.

Is it possible to do it according to steps below? If not what can I do?

You can do what you have suggested
However, if you do what you are suggesting, you should understand that you
will need:
TS cals for your workstations (depending on when you purchased your xp
machines)
Cals for Exchange 2003

I think it would be less expensive to buy SBS2003 and get a second
server for just the rdp sessions. Less expensive would be to get the
server 2003 software, downgrade it to server 2000 and load the TS in
apps mode there. Licensing can be a bit sticky and to be legal may be
more expensive with all 2003 stuff. On the other hand Exchange 2003
and Outlook 2003 are nifty.
