On a Dell Dual processor server, I have SBS 2000. But in system information
it shows 4 processors. Any idea why ? Should I be concerned ?

Hyperthreaded Processors ??

The 2 Physical, count as 4 virtual, which I believe SBS will use.

Most recent Intel CPUs have a feature called HyperThreading. This means
that each CPU appears as two virtual CPUs. WS2003 "knows" about
HyperThreading, and recognises it, but Windows 2000 simply sees the
virtual CPUs as real.

So a dual HyperThreaded CPU server running Windows 2000 will always report
4 CPUs.
