a popup to the person trying to access the folder? or a popup to an
administrator saying someone's trying to access the folder?

what do you want the popup to say or do?

...but seriously, you trigger an event on access.
How to audit user access of files, folders, and printers in Windows XP
http://support.microsoft.com/kb/310399

You can then code against that event to initiate a Pop-up msg of your
choosing.
