I am running windows server 2k3 and in the files that I
am trying to share under the properities it says read
only and ever time. I change it and apply it to open it
goes back to read only...


any thoughts

What are your rights on the Files/Folders ?
Have you taken ownership ?

Right/Alternate Mouse click > Properties
> Security > Advanced

Permissions, Owner and Effective Permissions tabs.
( there are links to help at the bottom of the Tabs.

If you're logged in as an administrator of the Domain
or of a group with sufficient permissions take ownership
and see if saving the settings then sticks.
