Well we upgraded to WSS 3.0 SP1 and now our central admin site isn't
working! it just gives a 404 error... all the sharepoint websites work
though... just not the central admin... anyone have any clue why? and how to
fix this? thanks!

I had a similar experience on one of my box's after running a windows update
(can't remember which one though).

In my case when you clicked on the link for central admin it wasn't picking
up the default page i.e. it was just going to
http://myservername:14095/

To get access all I needed to do was add default.aspx to the end of the url
& away I went. As it was only a virtual dev server I never pursued it any
further but thought this might be of use to you and get you into your
Central Admin site.

The next thing to try is using Firefox. I've had cases where Firefox has
demanded authorization where IE has given 404 errors because it is
assuming (wrong) authorization.

If Firefox works you could consider flushing your IE caches.

Sorry I don't have the expertise to help. I've only just managed to get
myself up and running but my case was different with similar symptoms. I
reverted back to 32 bit OS and it worked straight away.

About all I know is to check that other sites / apps are not sharing the
same port; ASP.NET is Allowed; ASP.NET V3 is installed (required for WSS3);
the site is Running in IIS; firewall is Off (at least initially); and the
correct URL is being entered into your browser including port number for
Admin Central.

A few questions for you...
-In IIS, is your central admin site set to run ASP.NET 2.0? Did it
some freak chance return to ASP.NET 1.1?
-Is your central admin site still in C:\Inetpub\wwwroot\wss
\VirtualDirectories?
-Is there anything in your event log pertaining to this?
-how bout the SharePoint logs C:\Program Files\Common Files\Microsoft
Shared\web server extensions\12\LOGS? anything in there jump out at
you?

also, sometimes running "SharePoint Products and Technologies
Configuration Wizard" under your start menu can "repair" basic setup
things(don't quote me on this last part, I am just guessing that it
could help)
