Is it a painless easy upgrade from STS 2.0 - 3.0 ???

There's no STS 2.0 but presumably you mean from WSS (2.0) to WSS 3.0.

There are three standard methods for doing this - in site; gradual and
via database to a second server.

All are described in detail in the Microsoft upgrade documentation.

Steve,

If you have ANY customizations to your V2 deployment you're going to be
almost garantueed problems with any of the three upgrade options. Especially
custom templates! It's beyond me why M$ would release a product that has
major upgrade issues with deployments that have custom templates - a feature
that SharePoint has been designed to use!!! Forgive my attitude - we've been
trying to upgrade a 60 GB deployment since last Friday and we've been online
with Microsoft since Sunday and they're not that much help at this point
either.
