This seems to be a regular question on the newsgroups. :) I'm sure you'll
get some different ideas. Here is what we did to upgrade a win2k machine to
w2k3. We staged a different box with windows 2003, copied the files from
the w2k machine to the w2k3 machine. Use can use Robocopy to copy the
folder permissions however this won't be 100% depending on your use of local
accounts. Then we used a tool called IISExport to migrate the metabase
settings from the w2k machine to w2k3. This seemed to work pretty well. We
had some folder level security to clean up so I'd make sure you double check
this also. For the most part it did a majority of the migration.
Another alternative is the IIS6 Migration tool from Microsoft (see
http://www.microsoft.com/downloads/details.aspx?FamilyID=2aefc3e4-ce97-4f25-ace6-127f933a6cd2&DisplayLang=en).
I recommend experimenting using both if possible to see what fits your needs
