I have a laptop (toshiba satellite) that was on XP Home. It has since been
upgraded to XP Pro SP2 via Windows XP Pro SP 2 cd - purchased. When I try
to go to the install IIS through either the cd or add/remove programs Windows
Optional Components, it fails. Can't find staxmem.dll - even though it I
can find it and point it to it. I went through all of Microsofts suggestions
for fixing it , method 1 and method 2. No luck. Still no go. I really
don't want to have to reformat just to load IIS. What other solutions are
out there that might work?

KB894351 is it.

I haven't seen it followed to completion and fail, especially method 2, when
you use the right CDs from the right SKU.

If you have an integrated XPSP2 (Instead of one which installs an update
patch on top of existing XP), I would just install that.
