I resolved this myself, here is the scenario:
1. Load VS.NET
2. Load XP office
3. Try to debug, results in an error message asking you to "resvr32" the
debug server!
*** IF you do this it will result in your system never stopping at a
controlled debug,
the resoloution is to reload the VS.NET.
I hope this helps somebody as this has caused me major heart ache!!
