i have windows 2000 AD and Exchange 2000 on Win2K member server. we are now
shifting it to new hardware and same time to Exchange 2003 rather then 2000
however OS will be windows 2000 as member server.

Is there any harm or reservation in this config?

You can run E2K3 on W2K but be aware that you do lose some
functionality in the advanced features.
this matrix
http://www.microsoft.com/exchange/evaluation/features/win_compare.mspx
tells you what you do and don't get with E2K3 on W2K as opposed to
E2K3 on W2K3.
