and ActiveSynch and Exchange 2003 or is it only to secure
the data ?

You are required by the PocketPC to connect to SAS using SSL. There is a
utility that disables the certificate check available from MS. If are
hosting your Exchange 2003 server yourself, you can also create your own
certificate to enable the SSL, but it'll require that you add the root
certificate to your PocketPC.
Securing SAS and OMA with SSL is highly recommended; otherwise you are
sending your credentials out in clear text and all that is required to gain
access to your network is minimal packet capturing to grab this information.
