I have a single 2k AD, on a single win2k domain controller. Also on this
server is Exchange 2000.

I have a new server with Windows 2003 and I need to install Exchange 2003
Enterprise on it. Is it simply a case of doing the forest prep etc,
installing, then moving mailboxes using the ESM?

Also, can i keep the IM server part of my exchange 2000 installation as 2003
doesnt have this feature?

I don't think IM will survive, check out the deployment guide form MS.

Mid way into chapter 3 it says something to the effect of :

"The following components are not supported in Exchange Server 2003:
