Which one should I upgrade first

1. The OS from Windows 2000 to Windows Server 2003 or
2. Exhange from Exchange 2000 to Exchange 2003

Exchange 2000 will not run on Windows Server 2003. Exchange 2003 will run on
either OS, although Windows 2000 must be at at least SP3 for it to function.

I would upgrade the OS first, make sure everything is OK with that, and then
proceed with the Exchange upgrade (either in-place or new hardware/migrate).

I thought Exchange was upgraded first then the OS. Thats what the MSExchange
forums say.

Correct. Exchange must be upgraded first, Exchange 2000 will not run on
Windows 2003.
