When attempting to run forest prep on a Windows 2003
server that is a member of a Windows 2003 domain running
AD. This particular server is not a Domain
Server....however I can see the Domain controller.

Please advise.

The Schema Master is one of the FSMO roles of windows Domain Controllers,
only 1 Domain Controller in the whole of your windows Active Directory
Forest gets this role. Exchange setup tries to contact this server to
extend the schema. and apparently it is failing to contact the server.

By default the first domain controller you DC Promo-ed into the forest is
the Schema Master. You can figure out which DC is the Schema Master by
following this KB:
http://support.microsoft.com/default.aspx?scid=kb;en-us;326310&Product=winsvr2003.
Follow the parts about ""Install the Active Directory Schema Snap-in", and
then from your programs\Administrative tools menu select Active Directory
Schema Console. Look to find out who the Operations Master is, this will
be your schema master.

Ensure you have network connectivity to the schema master, (DNS, netbios).
If the schema Master roll is held by a DC that no longer exists you'll need
to transfer or seize the schema master role to a new Domain controller.
